Chicago

Located on the southwestern shore of Lake Michigan, Chicago is the largest city in Illinois, and 3rd largest in the United States overall. As of the 2000 census, the city iself had a population of 2,896,016. Additionally, when combined with its suburbs and the nine surrounding counties in Illinois, Indiana and Wisconsin, the metropolitan area (known as "Chicagoland") has a population of almost 10 million.

The city has a highly diversified economy, including financial services, manufacturing, printing and publishing. Chicago is home to the nation's 2nd largest business district (after New York City), and the 3rd largest media market (after Los Angeles and New York City), and four major financial and futures exchanges.

Piercing the Corporate Veil - Alter Ego

Deciding to incorporate is usually a function of seeking to protect oneself from the risks of doing business by employing a corporate shield. Ah, but can that shield be penetrated? Yes!

The internet is an amazing part of our lives, but it has created a simplification of some situations that should be handled delicately. One is in the area of incorporation. More than a few sites now offer to incorporate businesses for a few of a couple hundred dollars plus state fees. A customer pays the fee, goes through the checklist of questions and ultimately receives a corporate book with some blank forms in it. The problem, of course, is the person has no idea what to do with the book or how to run the entity. When the business is subsequently sued, this can lead to disaster when the corporate protection is pierced through the claim of alter ego.

Alter ego is a theory used to penetrate the protection provided by a corporation to its shareholders. An attorney will claim that the corporation is the alter ego of its shareholders. Obviously, this claim is typically made when there are only a few shareholders, to wit, most small businesses. If the court agrees, the corporate protection is set aside and each shareholder becomes jointly liable for all the debts of the business. Obviously, this represents a disaster for most small businesses.

In general, courts apply a two-part test when alter ego is alleged. The court will set aside the corporate shield against personal liability if it finds first that there is a unity of interest between the corporation and the shareholders, then the degree of injustice if the corporate protection remains in place and, finally, the fraudulent intent of the shareholders. This represents a general approach, but the test differs from state to state and then federally as well. Make sure to get legal advice on the situation in your specific case.

At its root, alter ego is an equitable doctrine. This means that the court is evaluating what is fair given the facts presented to it. If you show up in court with a corporate book with a bunch of blank forms, you are in trouble. This trouble only grows when the evidence shows things such as your commingling personal finances with corporate finances and failure to comply with the formalities of a corporation.

If you are experienced in running a corporation, then choosing to use a cheap online service make sense in many cases. If this is your first venture into the business world, it does not. It may come as a surprise to learn that law firms tend to be very rigid in their structure. From the very beginning, the law firm has maintained a layered structure that just seemed to work. As the years have passed, there has been little or no change to this structure. If you retain a law firm to represent you in any legal matter, it helps to understand the positions and who you will be speaking with.

At the top of the organization chart is the lead attorney on your case. This is where the buck stops when it comes to strategy, final decisions and problems. The lead attorney is often a partner in the firm, but not always. He or she is the attorney you will probably meet with when you first come into the firm. The attorney is responsible for practically everything on your case, but has a team that does much of the leg work on day to day matters.

Below the lead attorney, one tends to find an associate lawyer. The associate is typically a less experienced attorney who is earning his or her stripes and trying to work their way up to a partner position. When it comes to communicating with the firm on your case, you will inevitably talk with the associate on numerous occasions. He or she will often call with questions related to factual issues and will address many of your questions as they arise.

Next comes the valuable paralegal. The paralegal is not a licensed attorney, but is often very knowledgeable on legal issues and strategies. The paralegal role in a firm is to do most of the detail work. This can include hunting down witnesses, setting depositions, compiling filings and so on. He or she will often share work with the associate attorney.

Finally, the law clerk is a person in the firm that will probably work on your case a lot without you even knowing it. A law clerk is almost always a law school student. To pick up practical experience, the law clerk takes a part time position with the firm. The job duties vary from firm to firm, but often are focused on doing legal research on various legal issues. Much of the legal regulation of a situation is determined by case law opinions issues by appellate or supreme courts of the states and federal jurisdictions. A law clerk spends a lot of time in a library reading these as they relate to your matter and reporting the results back to the associate and lead attorney.

Company Directors Vote on 130% Raise as Victims Suffer

Sydney, Australia - Imagine working your entire life as a blue collar employee of a large industrial plant spending countless hours to make products that people depend upon and just hoping to one day retire and live the rest of your life in comfort and peace.

For thousands of workers who were employed by James Hardie Industries during the middle of the century, this was there dream. They didnt know at the time that the products they manufactured contained asbestos and was making them sick.

Years later many of them have died painful and preventable deaths caused by asbestos exposure and their former employer is doing everything it can to prevent paying the price for their deaths.

This week at the annual board meeting, they are trying to approve a 130% raise for their members as a 3 year battle to create a victims compensation fund continues.

Limiting Liability

During the late 1990s and early 2000s, James Hardie Industries aggressively restructured the company to minimize their exposure to financial liability for asbestos claims. In 2001 it set up a front organization the Medical Research and Compensation Foundation which was aimed at providing victims with compensation.

However the committee has been heavily criticized by both internal and external observers as being wholly inadequate in terms compensation and distribution of funds. A plan to overhaul the foundation has been in the works over the past 3 years but nothing has been made in the way of progress.

Whats Next

James Hardie chairman Meredith Hellicar has stated that the delays in overhauling the foundation are attributed to making sure it has long term viability to pay out current and future claims.

However employees and members of medical groups have feel that unless a representative for victims is appointed to the board, the funding problems will continue.

There are signs of reform for the much maligned company, now headquartered in the Netherlands. Recent investigations by Australian authorities and internal restructuring have focused company energy to resolving their long-standing dispute with asbestos litigants but this weeks news is certainly a step in the wrong direction.

Peritoneal Mesothelioma Diagnosis

The diagnosis for Peritoneal Mesothelioma begins with the thorough review of the patients medical history to determine symptoms and any past asbestos exposure, as well as a complete physical. In addition, sometimes physicians might request an MRI (magnetic resonance imaging) scan or an X-ray of the abdomen or chest region to help determine the location and size of the tumor. In an MRI, a powerful magnet linked to a computer is used to make detailed pictures of areas inside the body. These pictures are viewed on a monitor and can also be printed, clearly depicting the areas affected with the tumor.

In cases of pleural and peritoneal mesothelioma, fluid (effusion) may collect in the chest or abdominal region. In such cases, physicians may use a procedure known as fine needle aspiration to obtain a sample of this fluid for further testing. In addition, this procedure can be used to drain the effusion to temporarily relieve chest pain or other painful symptoms.

Usually, a biopsy of the tumor is required to confirm a diagnosis of mesothelioma, however, sometimes only an effusion sample is needed. Some of the procedures commonly used for the diagnosis of the peritoneal mesothelioma include peritoneoscopy, thoracoscopy, and biopsy. With peritoneoscopy, the doctor will use a tool called a peritoneoscope, which is placed inside an opening made in the patient's abdomen. Fluid, if found, is then drained; the process of draining the fluid is called paracentesis, and it requires a needle to be placed inside the abdomen in order to extract the fluid.

In thoracoscopy a doctor uses a special instrument called a thoracoscope in order to examine the patient's chest cavity. An incision is made in the chest wall, and the thoracoscope is placed between the patient's ribs. If the fluid is found in the chest, the doctor drains it from the chest cavity through a needle. A thoracoscopy commonly requires an anesthetic or some other form of pain suppression.

In a biopsy, if cancerous tissue is found in the patient's lungs or abdomen it will be extracted and examined by the doctor. This process helps the doctor determine potential ways of treatment and is usually done during one of the other two processes or may require additional surgery.
